1. Agreement to terms

By accessing or using the services provided by Ployxi ("Company," "we," "us," or "our") at ployxi.com (the "Service"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance.

2. Description of service

Ployxi provides done-for-you website design, development, deployment, and optional ongoing hosting and maintenance services for medical spas and adjacent service businesses. Services include but are not limited to: custom website design and development; website deployment to a custom domain; content management system access; monthly hosting, maintenance, and support (for retainer clients); and email notifications and client portal access.

3. Free preview policy

We may, at our discretion, build a website preview using publicly available information about your business prior to any payment. This preview is built solely to demonstrate our capabilities, is not a guarantee of final deliverable design, is subject to removal at any time if no purchase is made, and remains the intellectual property of Ployxi until full payment is received.

You acknowledge that by requesting or viewing a free preview, you are not entering into a purchase agreement.

4. Payment terms

One-time build fee. A one-time build fee is required before your site is delivered to your domain. This fee varies by plan and is agreed upon prior to payment.

Monthly retainer. Clients who elect a monthly hosting and support plan will be billed automatically on a recurring basis. By providing payment information, you authorize us to charge your payment method on the same date each month.

No refunds. All payments to Ployxi are final and non-refundable. This includes the one-time build fee and all monthly retainer payments. We do not offer trials, money-back guarantees, or refunds for partial months. The monthly retainer may be cancelled at any time and your service will continue until the end of the current billing period, after which it ends — no further charges and no refund of fees already paid.

Failed payments. If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If payment is not received, your service may be suspended until payment is resolved.

5. Intellectual property

Our property. All code, design systems, templates, frameworks, tooling, and proprietary systems used to build your site remain the intellectual property of Ployxi. We grant you a limited, non-exclusive license to use the delivered website for your business purposes.

Your content. Any content you provide — including text, images, logos, and business information — remains your property. By providing this content, you grant us a license to use it solely for the purpose of building and maintaining your website.

No resale. You may not resell, sublicense, or transfer your website to a third party without our prior written consent.

6. Client responsibilities

You are responsible for providing accurate business information; maintaining your domain registration (if applicable); keeping your login credentials secure; ensuring all content you provide does not infringe on third-party rights; and complying with all applicable laws in your jurisdiction. We are not responsible for any issues arising from inaccurate information you provide.

7. Prohibited uses

You may not use our Service to violate any applicable laws or regulations; infringe on the intellectual property rights of others; distribute spam, malware, or harmful content; engage in fraudulent or deceptive practices; harass, threaten, or harm any individual or group; or attempt to reverse engineer, copy, or replicate our systems or templates. We reserve the right to terminate your account immediately for any prohibited use without refund.

8. Hosting and uptime

We make reasonable efforts to maintain 99.9% uptime for hosted client sites. However, we do not guarantee uninterrupted service and are not liable for downtime caused by third-party infrastructure providers, force majeure events, scheduled maintenance (we will provide advance notice when possible), or client-initiated changes that cause technical issues.

9. Termination

By you. You may cancel your monthly retainer at any time via your client dashboard or by contacting us at support@ployxi.com. Cancellation takes effect at the end of your current billing period.

By us. We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, non-payment, abusive behavior toward our team, or any reason we deem necessary to protect our business or other clients. Upon termination, your site will be taken offline. We will provide you with a copy of your content files upon written request within 30 days of termination.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT ANY RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR THAT YOUR WEBSITE WILL GENERATE ANY SPECIFIC LEVEL OF TRAFFIC, LEADS, OR REVENUE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLOYXI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ployxi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you provide to us.

13. Governing law & dispute resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

14. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ployxi regarding your use of the Service and supersede all prior agreements and understandings.
